These Terms of Service (“Terms”) govern your use of the Stratum Seven LLC website and our digital marketing services. By accessing our site or hiring us, you agree to these terms.
1. Services & Scope
Stratum Seven LLC provides digital marketing, development, and consulting services.
- Scope: Specific deliverables, timelines, and costs are defined in individual statements of work (SOW) or contracts signed by both parties.
- No Guarantees: We base our strategies on data and testing. However, we do not own Google, Meta, or any other third-party platform. Therefore, we do not guarantee specific rankings, traffic numbers, or ROAS. We promise professional execution, not algorithmic certainty.
2. Payments & Fees
- Invoicing: Payment terms are defined in your specific client agreement (typically Net 15 or Net 30).
- Ad Spend: You are responsible for paying media costs (Google Ads, Meta Ads, etc.) directly to the platforms. Stratum Seven manages the budget; we do not bankroll your ad spend.
- Late Payments: We reserve the right to pause all work and restrict access to deliverables if invoices are not paid on time.
3. Intellectual Property
- Client Ownership: Upon full payment, you own the specific creative assets, code, and copy we produce for you.
- Agency Rights: Stratum Seven retains the rights to our proprietary methodologies, pre-existing code libraries, and internal tools used to create your deliverables. You get the building, not the blueprints for the tools used to build it.
4. Third-Party Platforms
We work with third-party platforms (Google, Facebook, LinkedIn, AWS, etc.).
- Compliance: We execute campaigns within the terms of service of these platforms.
- Liability: We are not liable for account suspensions, ad disapprovals, or algorithm updates imposed by these third parties. If a platform changes its rules, we adapt, but we are not liable for the platform’s decision.
5. Limitation of Liability
To the fullest extent permitted by law, Stratum Seven LLC shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data. Our total liability for any claim arising out of these terms or our services is limited to the amount you paid us in the three (3) months preceding the claim.
6. Confidentiality
We treat your data as we treat our own. We will not disclose your proprietary business information, trade secrets, or customer data to third parties unless required by law or necessary to execute the agreed-upon services.
7. Termination
- By Client: You may terminate services as outlined in your specific service agreement.
- By Agency: We reserve the right to terminate our relationship if you violate these terms, fail to pay, or if professional boundaries are repeatedly crossed.
8. Governing Law
These Terms are governed by the laws of the State of New Mexico. Any disputes shall be resolved in the courts located in Bernalillo County, New Mexico.
