Terms of Service

These Terms of Service govern your use of the Stratum Seven LLC website and, where incorporated into a proposal or agreement, our services. By using this website, you agree to these terms. Client work is also governed by the applicable proposal, statement of work, or separate contract.

1. Services and Scope

Stratum Seven LLC provides workflow analysis, operational consulting, automation, systems integration, software prototyping, digital operations, and related services.

  • Scope: Deliverables, responsibilities, timelines, assumptions, and fees are defined in a proposal, statement of work, or contract accepted by both parties.
  • Changes: Work outside the agreed scope may require a revised estimate, timeline, or written change approval.
  • No guarantee: Recommendations and systems are based on the information available, practical testing, and professional judgment. We do not guarantee a particular financial, operational, marketing, ranking, traffic, or platform outcome.

2. Client Responsibilities

Clients are responsible for providing timely access, accurate information, decisions, approvals, and a lawful basis for any data or systems supplied to us. Clients remain responsible for reviewing and approving material decisions, outputs, and production changes unless a written agreement states otherwise.

3. Payments and Fees

  • Invoicing: Fees, deposits, expenses, and payment terms are defined in the applicable client agreement.
  • Third-party costs: Unless expressly included, clients are responsible for software subscriptions, hosting, media, API usage, and other third-party charges.
  • Late payment: We may pause work or withhold undelivered materials when an invoice is overdue, subject to the applicable agreement and law.

4. Intellectual Property

  • Client deliverables: Ownership or license rights in deliverables are defined in the applicable agreement and generally transfer only after full payment.
  • Stratum Seven materials: We retain ownership of pre-existing code, libraries, templates, methods, know-how, internal tools, and reusable components. Where these are included in a deliverable, the client receives the rights reasonably necessary to use that deliverable unless agreed otherwise.
  • Client materials: Clients retain ownership of materials and data they provide and grant us permission to use them to perform the agreed services.

5. Third-Party and AI-Assisted Systems

Our work may interact with third-party software, hosting providers, APIs, platforms, and AI-assisted tools. Their availability, output, policies, and security are outside our control. We will use professional judgment when selecting and configuring them, but we are not responsible for a third party’s independent acts, outages, policy changes, or decisions. Specific data-handling restrictions should be agreed before sensitive information is supplied.

6. Confidentiality

Each party will protect confidential business information received from the other and use it only for the agreed work, except where disclosure is authorized, necessary to approved service providers, or required by law. More specific confidentiality terms in a client agreement take precedence.

7. Website Use

You may not misuse this website, attempt unauthorized access, interfere with its operation, submit unlawful or malicious content, or copy protected materials except as permitted by law. Website information is provided for general business information and does not constitute legal, financial, or other regulated professional advice.

8. Limitation of Liability

To the fullest extent permitted by law, Stratum Seven LLC will not be liable for indirect, incidental, special, or consequential damages, including lost profits, revenue, opportunities, or data. Unless a separate signed agreement states otherwise, our total liability arising from paid services is limited to the amount paid to us for the services giving rise to the claim during the three months preceding the event.

9. Termination

Either party may terminate services as provided in the applicable agreement. We may suspend or terminate access or work for material breach, non-payment, unlawful activity, security risk, or repeated violation of professional boundaries.

10. Governing Law

These terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law rules. Unless a separate agreement states otherwise, disputes will be brought in courts located in Bernalillo County, New Mexico.

11. Changes and Contact

We may update these website terms from time to time. The effective date above identifies the latest version.
